02NO PROFESSIONAL RELATIONSHIP

The materials on this site are for informational and portfolio display purposes only. Submitting an 'Initiate Protocol' or 'Discovery' inquiry does not establish a formal Agency-Client relationship. A binding operational relationship is only established upon the mutual execution of a Master Services Agreement (MSA) and clearance of the mobilization deposit.

03INTELLECTUAL PROPERTY & WORK PRODUCT

Morphall Technologies Ltd retains absolute ownership of all intellectual property rights for material on this site, including proprietary codebases, 'Dark Mode' aesthetic frameworks, and case study logic. Regarding client work: Intellectual Property rights for deployed code and design systems transfer to the Client ONLY upon receipt of 100% full and final payment. Until final payment clears, Morphall retains full ownership and the right to suspend assets.

04LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Morphall Technologies Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or digital infrastructure downtime, resulting from your access to or inability to access the site.

05GOVERNING LAW & JURISDICTION

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Lagos State, Nigeria.
